Lindsey Rogers-Seitz

Senior Counsel

Lindsey Rogers-Seitz is an experienced corporate and transactional attorney who advises private equity firms, strategic investors, founders, and operators on complex M&A transactions, financings, and regulatory matters, with a particular focus on the healthcare and life sciences sector. She has provided advice in a range of industries, including manufacturing, franchising, telecommunications, service providers, engineering and many more, ranging from middle market to $100M+ deals. Her practice combines transactional execution with deep expertise in healthcare regulation, allowing clients to move quickly while managing risk in highly regulated environments.

Within the healthcare sector, she has served as lead counsel on acquisitions of hospitals, medical practices, home health and ABA practices, digital health companies, and other healthcare businesses, including transactions involving foreign investors entering the U.S. market. Lindsey also regularly advises on corporate practice of medicine, HIPAA, Stark Law, Anti-Kickback Statute, False Claims Act and value-based care arrangements.

Before joining SMB Law Group, Lindsey held senior roles at leading international law firms and healthcare organizations, including Ropes & Gray LLP, K&L Gates LLP, and University of Colorado Health, where she led the Southern Region legal department and overall transactional pipeline. She has also served as Associate Director/Corporate Counsel at a global pharmaceutical company, where she advised on complex regulatory and contracting matters.

Lindsey’s experience spans both the deal table and the operator side, giving her a practical, business-first perspective that clients value when navigating acquisitions, growth initiatives, and regulatory complexity.
